Throughout these Terms and Conditions, the terms "we", "us" and "our" refer to Johal Architectural Fabrications Ltd trading as Elite Shop Fronts.

2. Scope of These Terms and Conditions

These Terms and Conditions apply to:

  • Shop front design and fabrication services.

  • Glazing and architectural metalwork services.

By accessing our website, you agree to comply with these website terms.

Any purchase, project or installation will also be subject to the specific terms agreed between you and us, including the relevant quotation, order confirmation or written contract.

Where a project-specific agreement conflicts with these general Terms and Conditions, the project-specific agreement will take precedence for that project, unless otherwise agreed in writing.

Nothing in these Terms and Conditions affects your statutory rights as a consumer.

3. Our Products and Services

Our services may include:

  • Shop front design and fabrication.

  • Commercial glazing.

  • Shop front installation.

  • Replacement shop fronts.

  • Architectural metalwork.

We reserve the right to update, modify or withdraw information about our services where necessary.

4. Website Information and Accuracy

We make reasonable efforts to ensure that the information published on our website is accurate and up to date.

However, website content is provided for general information purposes.

Photographs, illustrations, project examples and product descriptions are intended to demonstrate the types of work we undertake. They may not represent the exact specifications, materials, dimensions or finishes available for every project.

We cannot guarantee that colours, finishes or materials displayed on different screens will accurately represent the final product.

You should confirm all important project specifications with us before placing an order.

5. Quotations and Estimates

Any quotation or estimate we provide will be based on the information available at the time of preparation.

Our quotations may include:

  • A description of the proposed work.

  • Materials and product specifications.

  • Design and fabrication requirements.

  • Installation requirements.

  • Estimated project timescales.

  • Labour and associated costs.

  • Any applicable VAT.

  • Payment terms.

Unless otherwise stated, quotations are valid for the period specified within the quotation.

If no validity period is stated, please contact us to confirm that the quotation remains available before accepting it.

Quotations may need to be revised if:

  • Project specifications change.

  • Measurements or site conditions differ from those originally supplied.

  • Additional work becomes necessary.

  • Material or supplier costs change before an order is accepted.

  • Information provided during the quotation process proves to be inaccurate or incomplete.

Any revised quotation will be provided for your approval before the additional work or expenditure is undertaken.

An estimate is not a fixed-price quotation unless we expressly confirm this in writing.

6. Placing an Order and Contract Formation

A contract between you and us will normally be formed when:

  • You accept our written quotation or proposal.

  • We confirm acceptance of your order in writing.

  • Any agreed deposit or initial payment has been received, where applicable.

  • Any other conditions specified in the quotation or order confirmation have been satisfied.

We reserve the right to decline an order where we cannot reasonably fulfil the requested work or where the proposed project falls outside our capabilities.

Before accepting an order, you should check that all specifications, dimensions, materials, finishes, quantities and project details are correct.

Any errors or omissions should be brought to our attention before production or installation begins.

7. Prices and Payments

The prices for our products and services will be confirmed in the relevant quotation or written agreement.

Unless otherwise stated, prices are quoted in pounds sterling (£).

VAT will be charged at the applicable rate where required by law.

Payment arrangements will be confirmed before work begins and may include:

  • An initial deposit.

  • Stage payments during fabrication or installation.

  • A balance payment upon completion.

  • Other payment arrangements agreed in writing.

You must pay invoices by the due dates specified in the relevant quotation, invoice or contract.

If you believe an invoice contains an error, you should notify us promptly and explain the reason for the dispute.

For business customers, we reserve the right to charge statutory interest and recover applicable debt recovery costs on overdue commercial invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

For consumer customers, payment and recovery arrangements will comply with applicable consumer protection legislation.

8. Deposits and Initial Payments

Where a deposit or initial payment is required, the amount and payment deadline will be stated in the quotation or order confirmation.

Deposits may be used towards:

  • Purchasing materials.

  • Securing supplier orders.

  • Allocating production resources.

  • Commencing design or fabrication work.

  • Reserving installation dates.

Once an order has been accepted and work has commenced, cancellation may result in costs being incurred.

Any refund or deduction following cancellation will be determined by the applicable contract, the work completed, costs reasonably incurred and your statutory rights.

A deposit will not automatically be treated as non-refundable in circumstances where applicable law requires a refund.

9. Design, Specifications and Approvals

Where we provide design, drawings or specifications, these will be prepared using the information supplied by you and the agreed project requirements.

You are responsible for checking and approving relevant drawings, measurements, materials, colours, finishes and specifications before production begins.

You should notify us of any errors or requested amendments before providing approval.

Once fabrication has commenced, changes may involve additional costs and affect the agreed completion date.

We will not be responsible for delays or additional costs caused by inaccurate information supplied by you or by changes requested after approval, except where applicable law provides otherwise.

10. Measurements and Site Information

Accurate measurements and site information are essential for successful fabrication and installation.

Where we undertake a site survey, we will use the measurements and information obtained during that survey for the agreed project.

Where you provide measurements, drawings or specifications, you are responsible for ensuring that the information is accurate and complete.

You must notify us of any relevant site restrictions, access limitations, structural issues or other conditions that could affect the project.

If we identify differences between the agreed specifications and the actual site conditions, we may need to review the work, quotation or installation arrangements.

Any additional work or costs will be discussed and agreed with you before proceeding, except where urgent action is reasonably necessary to protect health and safety or prevent damage.

11. Changes to Orders and Additional Work

Any changes to an agreed project should be requested in writing.

Changes may include:

  • Alterations to dimensions.

  • Changes to materials or finishes.

  • Additional glazing or fabrication requirements.

  • Changes to installation arrangements.

  • Additional labour or site work.

  • Changes to the agreed project scope.

We will assess the requested changes and confirm any revised costs or timescales.

We will not be obliged to undertake additional work until the revised arrangements have been agreed.

12. Delivery and Installation

Delivery and installation arrangements will be agreed as part of the relevant quotation or project contract.

We will make reasonable efforts to complete work within the agreed timescales.

However, installation dates and completion estimates may be affected by circumstances beyond our reasonable control, including:

  • Supplier or material delays.

  • Adverse weather conditions.

  • Unforeseen site conditions.

  • Restricted access to the property.

  • Delays caused by other contractors.

  • Changes requested by the customer.

  • Planning or building control issues.

  • Health and safety concerns.

  • Events outside our reasonable control.

Where a delay occurs, we will communicate relevant information and agree revised arrangements where reasonably possible.

We will not be responsible for delays caused by circumstances beyond our reasonable control, although this does not remove any statutory rights you may have.

13. Customer Responsibilities

You are responsible for providing suitable conditions for any agreed delivery, survey or installation work.

Unless otherwise agreed in writing, you must:

  • Provide safe and reasonable access to the site.

  • Ensure the work area is accessible and available.

  • Provide accurate project information.

  • Obtain any permissions that are your responsibility.

  • Inform us of known structural issues and site hazards.

  • Arrange any necessary access to electricity or other facilities where agreed.

  • Coordinate access with landlords, property managers or other relevant parties.

  • Ensure that other contractors do not obstruct or interfere with our work.

  • Secure the necessary approvals before work begins where these are your responsibility.

If we cannot complete the agreed work because these requirements have not been met, additional visits, labour or other reasonable costs may be chargeable where agreed or permitted under the contract.

14. Planning Permission and Building Regulations

Some shop front installations and alterations may require planning permission, building regulations approval, landlord consent or other permissions.

Responsibility for obtaining these approvals will be confirmed as part of the project agreement.

Unless expressly included in our quotation, we are not responsible for obtaining planning permission, landlord consent, building control approval or other third-party authorisations.

You should confirm the relevant requirements with the local planning authority, building control body, landlord or property owner before work begins.

We will carry out our agreed work in accordance with the applicable legal and regulatory requirements relevant to our responsibilities.

15. Cancellations and Termination

If you wish to cancel an order or project, you should notify us in writing as soon as possible.

The financial consequences of cancellation will depend on:

  • The terms of the accepted quotation or contract.

  • Whether materials have been ordered.

  • Whether bespoke products have entered production.

  • The amount of design, fabrication or installation work completed.

  • Any reasonable costs already incurred.

  • Your statutory cancellation rights, where applicable.

Where a cancellation charge applies, it will reflect the contractual arrangements and any reasonable costs or losses recoverable under applicable law.

We may suspend or terminate a project where:

  • You fail to make agreed payments.

  • You materially breach the contract.

  • You fail to provide necessary information or site access.

  • Continuing the work would create an unacceptable health and safety risk.

  • Circumstances arise that make the agreed work unlawful or impossible.

Where appropriate, we will provide written notice and a reasonable opportunity to resolve the issue before termination.

Any outstanding payment obligations will remain subject to the applicable contract and legal requirements.

Consumer cancellation rights

If you are purchasing as a consumer, you may have statutory cancellation rights when entering into certain contracts away from our business premises or through distance-selling arrangements.

These rights may include a 14-day cancellation period, subject to the applicable legal requirements and exceptions.

Certain bespoke or made-to-measure goods may be exempt from the standard cancellation right for change of mind.

Where you request that services begin during a statutory cancellation period, additional rules may apply.

We will provide any legally required cancellation information and explain the applicable arrangements when entering into a relevant consumer contract.

Nothing in these Terms and Conditions removes any cancellation rights that you are legally entitled to exercise.

16. Bespoke and Made-to-Measure Products

Some of our products and services may be manufactured or fabricated to individual project specifications.

Bespoke products may be made to specific dimensions, designs, materials, colours or finishes.

Once production has commenced, changes or cancellation may result in additional costs.

Where bespoke goods are manufactured to your specifications, statutory exceptions to the standard consumer cancellation right may apply.

However, bespoke products remain subject to applicable statutory rights relating to quality, description, fitness for purpose and installation.

17. Materials, Finishes and Product Variations

We aim to supply materials and finishes that match the agreed specifications.

Minor variations may occur between samples, photographs, display screens and finished materials due to manufacturing processes, lighting, natural material characteristics or supplier tolerances.

Where a material or product becomes unavailable, we will discuss suitable alternatives with you before making a material change to the agreed specification.

We will not substitute materials or significantly alter agreed specifications without your approval, unless the contract expressly allows it.

18. Workmanship and Warranties

We aim to carry out all agreed fabrication and installation work with reasonable care and skill.

Any specific workmanship warranty or manufacturer warranty will be confirmed in the relevant quotation, order confirmation or separate warranty documentation.

Manufacturer warranties may be subject to their own terms, conditions and exclusions.

Unless expressly stated in writing, we do not provide a separate warranty beyond the applicable contractual and statutory obligations.

Nothing in these Terms and Conditions limits your statutory rights where goods or services do not meet the standards required by law.

19. Complaints and Defective Work

If you have a concern about our products or services, please contact us as soon as reasonably possible.

When reporting an issue, please provide:

  • Your name and contact details.

  • Your quotation or order reference, where available.

  • Details of the issue.

  • Relevant photographs or supporting information, where appropriate.

We will review the matter and aim to resolve legitimate concerns promptly.

Where goods or services do not meet the agreed contractual requirements, we will consider the appropriate remedy in accordance with the contract and applicable law.

You should not attempt to repair or alter disputed work without first discussing the issue with us, unless immediate action is necessary to prevent injury or further damage.

This does not affect any statutory remedies available to you.

20. Limitation of Liability

We will not exclude or restrict liability where doing so would be unlawful.

Nothing in these Terms and Conditions excludes or limits our liability for:

  • Death or personal injury caused by negligence.

  • Fraud or fraudulent misrepresentation.

  • Any breach of obligations that cannot legally be excluded or restricted.

  • Any statutory consumer rights or remedies that cannot legally be limited.

For business customers, and subject to the exclusions above, we will not be liable for indirect or consequential losses that are not reasonably foreseeable or recoverable under the contract.

For business customers, our total liability arising from a particular project will be subject to any liability limit expressly agreed in the relevant written contract.

Where no specific liability limit has been agreed, our liability will be determined in accordance with applicable law.

Nothing in this section affects liability for direct losses that the law does not permit us to exclude.

You must not copy, reproduce, distribute, modify or commercially exploit website content without our prior written permission, except where permitted by law.

Project-specific drawings, designs and technical documents remain subject to any intellectual property arrangements agreed between us and the customer.

Unless expressly agreed otherwise, providing drawings or quotations does not automatically transfer ownership of the intellectual property rights in those materials.

We may temporarily suspend, update or modify the website for maintenance, security, technical improvements or other operational reasons.

We are not responsible for temporary website interruptions caused by circumstances outside our reasonable control.

Our website may contain links to external websites or third-party services.

These links are provided for convenience and information.

We do not control third-party websites and are not responsible for their content, availability, products, services or privacy practices.

Accessing third-party websites is at your own discretion.

25. Events Beyond Our Control

We will not be responsible for a failure or delay in performing our contractual obligations where the failure or delay results from circumstances beyond our reasonable control.

These circumstances may include:

  • Severe weather.

  • Flooding or fire.

  • Natural disasters.

  • Industrial action.

  • Supplier or transport disruptions.

  • Government restrictions.

  • Public emergencies.

Where such circumstances affect a project, we will notify you where reasonably possible and discuss the appropriate next steps.

This section does not affect any statutory rights or remedies available to consumers.

26. Data Protection and Privacy

We collect and process personal information in accordance with our Privacy Policy and applicable data protection legislation.

Our Privacy Policy explains:

  • What personal information we collect.

  • How we use personal information.

27. Changes to These Terms and Conditions

We may update these Terms and Conditions from time to time to reflect changes in our business, website, services or legal obligations.

The latest version will be published on this page with an updated revision date.

Changes to these website terms will apply from the date they are published.

Changes to an existing customer contract will only take effect in accordance with the terms of that contract or where otherwise agreed between the parties.

28. Severability

If any provision of these Terms and Conditions is found to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

29. No Waiver

If we do not enforce a right or provision under these Terms and Conditions, this does not mean that we have waived that right or provision.

We may enforce our rights at a later date, subject to applicable law.

30. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of England and Wales.

Any disputes arising in connection with these Terms and Conditions will be subject to the jurisdiction of the courts of England and Wales, subject to any mandatory legal rights that apply to consumers.
